Licence terms – Clause Ten IMS Autopilot

Last updated: 12 October 2026

These terms apply when you buy or use Clause Ten IMS Autopilot ("the software") from Clause Ten Consulting ("we", "us"). By activating a licence you accept them. The software is sold to businesses; nothing in these terms affects rights you have by law that cannot be excluded.

1. Your licence

We grant you a non-exclusive, non-transferable licence to use the software for one organisation, for the standards and period shown on your order or quote (normally 12 months). Check-only mode may be used free of charge.

2. Computers

Each licence key can be active on two computers at a time unless your order says otherwise. To move a licence, click Deactivate on the old computer first, or contact us if that computer is no longer available.

3. What you may not do

You may not share, resell or sublicense licence keys, use one licence for several unrelated organisations (unless you have a Consultant licence), or copy, decompile or modify the software except where the law allows it.

4. What the software is – and is not

The software screens documents using keyword rules and requirement summaries written in our own words. It does not reproduce ISO, BSI or SIA standards and is not affiliated with or endorsed by ISO, BSI, UKAS, the SIA or any certification body. Readiness scores and audit predictions are guidance only. The software does not certify compliance or guarantee that you will pass an audit. Certification decisions are always made by your certification body.

5. Your responsibilities

You remain responsible for your management system, for checking every correction, draft and template before you use it, for approving documents and for keeping genuine records. The software never creates evidence, signatures or approvals; nothing it produces should be shown to an auditor as evidence until it has been completed with genuine information and approved by you. Keep your own back-ups – the software writes corrected copies and does not change your originals, but you should still keep copies of your documents.

6. Your documents and data

The software runs on your own computer and does not upload your documents to us. If you switch on optional cloud AI checking or drafting, short excerpts are sent to the AI provider you choose, only after you tick the consent box. See our privacy policy.

7. Updates and support

During your licence period you receive updates to the requirement sets (downloaded automatically) and software updates, and email support at contact@clausetenconsulting.com. We aim to reply within one working day.

8. Payment and renewal

Prices are as quoted to you. Licences do not renew automatically – we will remind you before expiry and you can renew by paying again with the same email address. Refunds are covered by our refund policy.

9. Liability

We will use reasonable care and skill. To the extent permitted by law, our total liability to you for any claim is limited to the fees you paid for the software in the 12 months before the claim. We are not liable for indirect or consequential loss, loss of profit, failed audits, lost certification or lost contracts. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

10. Ending the licence

We may cancel a licence if these terms are seriously broken, for example if a key is shared. When a licence ends, the licensed features stop working; check-only mode and the reports and documents you have already produced remain yours.

11. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
